Uniswap, the leading decentralized trading platform built on Ethereum and expanding across Polygon, Arbitrum, and Optimism, just announced a proposal that could reshape its tokenomics. On August 11, the Uniswap Foundation filed a governance initiative to register Uniswap DAO as a Wyoming DUNA (Decentralized Unincorporated Nonprofit Association) and establish a new entity called DUNI. This move goes beyond typical protocol updates—it’s a structural bet on compliance.
Why DUNA Matters: The Real-World Shield for DAOs
Decentralized autonomous organizations operate in a gray legal zone. They can execute code, but they can’t sign contracts, hire professionals, or defend themselves in court as legitimate entities. Wyoming recognized this gap in 2024 by introducing the DUNA Act—a framework that lets nonprofit DAOs gain legal recognition without sacrificing decentralization.

The fee switch unlocks hidden protocol value. Currently, Uniswap charges a 0.3% trading fee that flows entirely to liquidity providers. The fee switch allows the protocol to redirect a portion—potentially 0.05%—into the DAO treasury instead. According to on-chain data, Uniswap processed over $123 million in monthly swap fees recently. Diverting even one-sixth to governance would generate approximately $20.5 million monthly, or roughly $240 million annualized.
This is the revenue engine markets have been waiting for. Previous fee switch proposals stalled because distributing protocol revenues to token holders created potential securities law exposure under US regulations. The DUNA framework eliminates this legal ambiguity by clarifying that funds flow to the DAO as an entity, which then allocates resources through governance rather than direct distributions.
Important caveat: DUNA organizations cannot distribute profits to members. Fee switch revenue must be allocated through governance decisions for public goods, research, or incentives—not direct payouts to UNI holders. This protects the DAO structurally but constrains dividend expectations.
Governance Tensions: Decentralization vs. Power Consolidation
The community isn’t uniformly bullish. The proposal highlights real governance friction within Uniswap:

If the preliminary governance vote on August 18 passes, Uniswap becomes one of the first major DAOs to adopt the DUNA framework at scale. Two competing narratives emerge:
Bull case: Compliance reduces legal friction, the fee switch generates predictable revenue, and UNI’s token begins capturing protocol economics. The structural foundation strengthens long-term value.
Bear case: Legalization concentrates power in the foundation and capital allies rather than distributing it. Token holders get governance rights without revenue participation. The DUNA structure becomes a vehicle for managed decentralization, not authentic autonomy.
